Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Oneiric d.o.o. ("Company", "we", "us", or "our") governing your access to and use of the PCI DSS Dashboard platform, including any associated websites, applications, and services (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

Description of Service

PCI DSS Dashboard is a compliance management platform designed to help organizations track, manage, and document their Payment Card Industry Data Security Standard (PCI DSS) compliance activities. The Service provides:

• Requirement tracking and status management
• Evidence and document repository
• Asset and system inventory management
• Policy management and tracking
• Task scheduling and reminders
• Reporting and dashboard analytics
• Multi-user collaboration features

Account Registration

To use the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.

Subscription and Payment

Subscription Plans

The Service is offered through various subscription plans as described on our pricing page. Each plan includes specific features, limitations, and pricing.

Free Trial

We may offer a free trial period for new users. During the trial, you have access to the Service features specified for your trial plan. At the end of the trial, you must subscribe to a paid plan to continue using the Service.

Payment Terms

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as expressly stated in these Terms
• Prices are subject to change with 30 days' notice
• You are responsible for all applicable taxes
• Failed payments may result in suspension or termination of your account

Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You retain access until the end of your current billing period
• No refunds are provided for partial billing periods
• Your data remains accessible for 30 days after expiration
• After 30 days, your data may be permanently deleted

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate any applicable laws, regulations, or third-party rights
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Upload malicious code, viruses, or harmful content
• Use the Service to store or transmit infringing or illegal content
• Reverse engineer, decompile, or disassemble the Service
• Share your account credentials with unauthorized parties
• Resell, sublicense, or redistribute the Service without authorization
• Use automated tools to access the Service without our consent

Your Data and Content

Ownership

You retain all ownership rights to the data, documents, and content you upload to the Service ("Your Content"). We do not claim ownership of Your Content.

License Grant

By uploading Your Content, you grant us a limited, non-exclusive license to store, process, and display Your Content solely for the purpose of providing the Service to you. This license terminates when you delete Your Content or your account.

Your Responsibilities

You are solely responsible for:

• The accuracy and completeness of Your Content
• Ensuring you have the right to upload and use Your Content
• Compliance decisions based on information in the Service
• Maintaining appropriate backups of Your Content
• Ensuring Your Content does not violate any laws or third-party rights

Intellectual Property

Our Intellectual Property

The Service, including its design, features, functionality, code, documentation, and all related intellectual property, is owned by Oneiric d.o.o. and is protected by copyright, trademark, and other intellectual property laws.

Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription period.

Restrictions

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code, except as permitted by law.

Third-Party Services

The Service may integrate with or contain links to third-party services, websites, or applications. We are not responsible for:

• The availability, content, or practices of third-party services
• Any transactions or interactions with third parties
• Any damages arising from your use of third-party services

Your use of third-party services is governed by their respective terms and policies.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS OF CONTENT

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The Service will meet your specific requirements
• Any errors or defects will be corrected
• The Service will ensure PCI DSS compliance

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ONEIRIC D.O.O., ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AFFILIATES BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Cost of substitute services
• Any damages arising from your use or inability to use the Service

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Oneiric d.o.o. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of a third party
• Your Content uploaded to the Service

Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will make reasonable efforts to notify you of significant changes. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Termination

Termination by You

You may terminate your account at any time by canceling your subscription and deleting your account through the Service settings.

Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if:

• You breach any provision of these Terms
• You fail to pay subscription fees when due
• We are required to do so by law
• We discontinue the Service

Effect of Termination

Upon termination:

• Your right to access and use the Service ceases immediately
• You may request export of Your Content within 30 days
• Provisions that by their nature should survive termination shall survive

Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Republic of Croatia, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through:

1. Negotiation: The parties shall first attempt to resolve disputes through good-faith negotiation
2. Mediation: If negotiation fails, disputes may be submitted to mediation
3. Litigation: Unresolved disputes shall be subject to the exclusive jurisdiction of the courts in Zagreb, Croatia

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and us regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations without restriction.

Notices

We may provide notices to you via email, through the Service, or by posting on our website. You may provide notices to us via the contact information below.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending an email notification for significant changes

Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.
